1. About these terms

These terms and conditions (the terms) govern your use of our website at vangoo.com (the site). Please read them carefully before using the site. By using the site, you confirm that you accept these terms and agree to comply with them. If you do not agree, you must not use the site.

The site is operated by Vangoo Limited (Vangoo, we, us, our), a company registered in England and Wales with company number 15483882 and registered office at Staunton Lane, Whitchurch, Bristol, BS14 0QL. You can contact us at info@vangoo.com.

These terms govern your use of the site only. The terms on which vehicles are bought and sold through the site are set out in our separate Vangoo Sales Terms, available at http://www.vangoo.com/sales-terms (the Sales Terms). The Sales Terms apply to every transaction in addition to these terms. If there is any conflict between these terms and the Sales Terms in relation to a transaction, the Sales Terms take priority.

2. Trade-only access and eligibility

The site and our services are intended for businesses only. They are not intended for consumers. By using the site you confirm that you are acting in the course of a business or trade and not as a consumer and that you have authority to act for the business you represent.

Access to certain parts of the site, including vehicle listings and trading functions, is limited to registered trade users whose status we have verified. We may ask you for proof of identity, proof of your business and its trade status and any other information we reasonably need, including to meet our obligations under anti-money laundering law. We may refuse, suspend, or withdraw access at our discretion, including where we are not satisfied that you qualify or you do not provide the information we ask for.

3. Your account

To use certain features, you must register for an account. You must provide accurate and complete information when you register and tell us promptly of any changes to it.

You are responsible for keeping your account details and password confidential. You are responsible for all activity that takes place under your account, including any bids, offers or other actions, until you tell us that your account has been used without your authority. You must notify us promptly at info@vangoo.com if you become aware of, or suspect, any unauthorised use of your account.

We may suspend or close your account, or restrict your access, if we believe you have breached these terms or the Sales Terms, if you no longer qualify for trade access, or where we consider it necessary to protect the site, our business, or other users.

4. Acceptable use

You may use the site only for lawful purposes connected with your legitimate trade in commercial vehicles.

You must not:

• use the site in any way that breaches any applicable law or regulation

• use the site, or any information on it, for any purpose other than genuine trade, including any consumer purpose

• copy, scrape, harvest, or extract data or listings from the site, whether by automated means or otherwise, except as expressly permitted by us

• introduce any malicious code, or attempt to gain unauthorised access to the site, the server on which it is stored, or any connected system

• interfere with, damage, or disrupt the site or its security

• misrepresent your identity, your trade status, or your authority to act for a business

• resell, sublicense, or otherwise make your access to the site available to any third party

• reproduce, distribute, or commercially exploit any content from the site without our permission

We may report any breach of these provisions to the relevant authorities and cooperate with them, including by disclosing your identity.

5. Vehicle listings and information

The site displays information about commercial vehicles available through the marketplace, including details of their condition.

Some of this information comes from third parties, such as previous owners and vehicle history providers. We take reasonable care in preparing listings, but except as set out in the Sales Terms, we do not warrant that information on the site is accurate, complete, or current. You rely on it at your own risk. You should satisfy yourself as to the condition, history and suitability of any vehicle, including by inspection where appropriate, before entering into any transaction.

All vehicles on the site are sold by Vangoo to trade buyers. Any contract for the sale or purchase of a vehicle, including how and when that contract is formed, is governed by the Sales Terms and not by these terms.

6. Intellectual property

All intellectual property rights in the site and its content, including text, graphics, logos, images, software and the data and databases compiled on the site (including database rights), are owned by us or our licensors and are protected by law. Vangoo and our logo are trademarks of Vangoo Limited (UK00003953173).

We grant you a limited, non-exclusive, revocable licence to access and use the site for the purposes permitted by these terms. You acquire no rights in the site or its content other than this licence, and you must not use our name, logo, or branding without our written permission.

7. Third-party links

The site may contain links to third-party websites and resources. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them, or for any loss arising from your use of them.

8. Availability of the site

We aim to keep the site available, but we do not guarantee that it will be available without interruption, secure, or free from errors. We may suspend, withdraw, or restrict all or part of the site for business or operational reasons, and we will try to give reasonable notice where we can. We may also change the site and its content from time to time.

We do not guarantee that any bid, offer, message or other action you submit through the site will be received or processed, including where the site or your connection fails. You use the site's trading functions at your own risk in this respect.

9. Our liability

Nothing in these terms excludes or limits our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, and for fraud or fraudulent misrepresentation.

Subject to that, and because you are using the site in the course of business:

• we exclude all implied terms, warranties, and conditions to the fullest extent permitted by law

• we provide the site on an 'as available' basis and make no warranties about its content, accuracy, or fitness for any particular purpose

• we are not liable for any loss of profit, loss of business, business interruption, loss of goodwill, loss of data, or any indirect or consequential loss, however arising

Subject to the above, our total liability to you arising out of or in connection with your use of the site, whether in contract, tort (including negligence), or otherwise, is limited in aggregate to £1,000

This clause governs liability for use of the site. Liability in connection with any transaction is dealt with in the Sales Terms.

10. Your responsibility for loss to us

You will indemnify us against all losses, liabilities, costs and expenses (including reasonable legal fees) we suffer as a result of:

• your breach of these terms

• your unlawful or unauthorised use of the site

• any use of your account, whether or not authorised by you, before you notify us of unauthorised use under clause 3

This includes any claim brought against us by a third party arising from any of the above. We will notify you promptly of any such claim and take reasonable account of your views in dealing with it.

11. Data protection

We process personal information in accordance with our privacy policy, available at http://www.vangoo.com/privacy-policy which explains how we collect and use it and your rights under data protection law. By using the site you acknowledge that processing.

12. Suspension and termination

We may end or suspend your right to use the site at any time if you breach these terms or the Sales Terms or no longer qualify for trade access. On termination, the licence granted to you ends and you must stop using the site. Termination does not affect any transaction already entered into, which remains governed by the Sales Terms. Any provisions intended to survive termination, including those on content you provide, intellectual property, liability, your responsibility for loss to us, and governing law, will continue to apply.

13. Changes to these terms

We may revise these terms from time to time. The version that applies is the one published on the site when you use it. We will update the date at the top when we make changes, and where changes are significant we will take reasonable steps to bring them to your attention. By continuing to use the site after changes take effect, you accept the revised terms.

14. Notices

We may send notices to you by email to the address registered to your account, or by displaying them on the site. You must send notices to us by email to info@vangoo.com or by post to our registered office. An email notice is treated as received on the next working day (Monday to Friday, excluding bank holidays in England) after it is sent.

15. General

• These terms, together with our privacy policy and the Sales Terms, form the entire agreement between us about your use of the site.

• If we do not enforce a right, that is not a waiver of it.

• If any provision is found to be unenforceable, the rest of the terms continue to apply.

• These terms are between you and us. No other person has any right to enforce them under the Contracts (Rights of Third Parties) Act 1999.

• You may not transfer your rights or obligations under these terms without our consent. We may transfer ours, for example if we reorganise or sell our business.

• We are not liable for any delay or failure to perform caused by events outside our reasonable control.

16. Governing law and jurisdiction

These terms, and any dispute or claim arising out of or in connection with them or your use of the site, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
